Terms of Service

Agreement overview: By using EcoCycle's website, mobile applications, or any waste management and recycling services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please discontinue use of our Services immediately.

1. Acceptance of Terms

Welcome to EcoCycle. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and EcoCycle ("we," "us," or "our") regarding your access to and use of our website, mobile applications, customer portal, and all waste collection, recycling, and disposal services provided by us.

By accessing our website, creating an account, or scheduling a service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

To use our Services, you must be at least 18 years of age and capable of forming a binding contract. If you are using the Services on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Service Description

EcoCycle provides waste collection, recycling, and sustainable disposal solutions for residential, commercial, and industrial clients. Our services include, but are not limited to:

  • Residential curbside waste and recycling pickup
  • Commercial recycling programs with custom bins and schedules
  • Industrial waste management and compliance support
  • Electronic waste (e‑waste) collection and certified recycling
  • Organic composting and yard waste processing
  • Bulk waste and construction debris removal
  • Hazardous waste handling and disposal

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice where feasible.

4. Account Registration & Responsibilities

4.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. EcoCycle will not be liable for any loss or damage arising from your failure to protect your login information.

4.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion if we determine that you have violated these Terms, engaged in fraudulent activity, or used the Services in a manner that may cause harm to EcoCycle, other users, or third parties.

5. Scheduling, Pickups, and Service Access

5.1 Scheduling

Pickups are scheduled based on your selected plan and confirmed service window. While we make every effort to adhere to scheduled times, actual pickup times may vary due to traffic, weather, route optimization, or unforeseen operational requirements. We will notify you of significant delays via your preferred communication channel.

5.2 Property Access

By scheduling a service, you grant EcoCycle and its authorized personnel permission to access your property (including driveways, yards, and designated collection areas) for the purpose of performing the agreed‑upon waste collection services. You are responsible for ensuring that collection areas are clear, accessible, and safe for our team.

5.3 Prohibited Items

Certain items are prohibited from standard collection and require special handling. Prohibited items include, but are not limited to:

  • Radioactive materials
  • Explosives and ammunition
  • Medical waste and biohazards (unless specifically contracted for medical disposal)
  • Asbestos and other regulated hazardous materials without prior arrangement
  • Live animals or animal carcasses
  • Any items prohibited by local, state, or federal law

If prohibited items are discovered in your collection containers, we reserve the right to refuse pickup and may charge additional fees for proper handling. You agree to comply with all applicable laws and regulations regarding waste disposal.

6. Payments, Fees & Billing

6.1 Pricing

Service fees are as described on our Pricing page or as otherwise quoted to you in writing. All prices are in U.S. dollars unless otherwise stated. We reserve the right to modify pricing with 30 days' notice to active customers. Continued use of the Services after a price change constitutes acceptance of the new rates.

6.2 Billing & Payment

Payment is due according to your selected plan (monthly, quarterly, or annually). By providing a payment method, you authorize us to charge the applicable fees and any associated taxes to that payment method. You are responsible for maintaining current and valid payment information on file.

6.3 Late Payments

If payment is not received by the due date, we may suspend your service until the outstanding balance is paid in full. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6.4 Cancellation & Refunds

You may cancel your service at any time through your account portal or by contacting our support team. Monthly plans will be canceled at the end of the current billing cycle. Prepaid annual plans canceled mid‑term will be refunded on a prorated basis for the remaining unused months, less a $25 administrative fee. One‑time pickups canceled less than 24 hours before the scheduled window may be charged a late cancellation fee of $15.

7. Intellectual Property

All content, trademarks, logos, designs, text, graphics, software, and other materials on our website and mobile applications are the exclusive property of EcoCycle or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.

"EcoCycle," the EcoCycle logo, and the "🌱" emblem are registered trademarks of EcoCycle. All other trademarks appearing on our Services are the property of their respective owners.

8. User Conduct & Acceptable Use

When using our Services, you agree not to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Use the Services for any unlawful, fraudulent, or unauthorized purpose.
  • Interfere with or disrupt the operation of our website, servers, or networks.
  • Attempt to gain unauthorized access to any part of our systems or accounts of other users.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Harass, abuse, or harm our personnel or other customers.
  • Scrape, data‑mine, or otherwise extract data from our website without explicit written permission.
  • Misrepresent your identity or affiliation with any person or entity.

Violation of these conduct terms may result in immediate termination of your account and, where appropriate, referral to law enforcement authorities.

9. Third‑Party Links & Services

Our website may contain links to third‑party websites or services that are not owned or controlled by EcoCycle. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third‑party websites or services. You acknowledge and agree that EcoCycle shall not be liable for any damage or loss caused by or in connection with the use of any such third‑party content, goods, or services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ECOCYCLE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error‑free, or completely secure; that any defects will be corrected; or that our website or servers are free of viruses or other harmful components. You use the Services at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECOCYCLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including without limitation lost profits, loss of data, business interruption, or personal injury arising out of or relating to your use of (or inability to use) the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising from your use of the Services shall not exceed the amount you have paid to EcoCycle in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless EcoCycle and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Services.
  • Your violation of these Terms or any applicable law.
  • Your violation of any third‑party rights, including intellectual property or privacy rights.
  • Any content or materials you submit through the Services.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim.

13. Dispute Resolution & Arbitration

13.1 Informal Resolution

We value our relationship with you and encourage you to contact us directly at legal@ecocycle.com to resolve any concerns or disputes informally before pursuing formal legal action. Both parties agree to make a good‑faith effort to resolve any dispute for at least 30 days before initiating arbitration.

13.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved exclusively through binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Eco City, or via video conference if both parties agree.

13.3 Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

13.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions. Any arbitration shall be governed by the Federal Arbitration Act.

14. Termination

These Terms remain effective until terminated by either party. You may terminate these Terms at any time by closing your account and ceasing use of the Services. We may terminate these Terms and your access to the Services at any time, with or without cause, by providing reasonable notice where practical. Upon termination, your right to use the Services will immediately cease, and any outstanding fees shall become immediately due and payable.

Sections that by their nature should survive termination (including but not limited to Sections 7, 10, 11, 12, 13, and 15) shall survive termination of these Terms.

15. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will:

  • Post the revised Terms on this page with an updated "Last updated" date.
  • Send an email notification to registered users for significant changes.
  • Display a notice on our website for 30 days after material updates.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must discontinue using the Services.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and EcoCycle regarding the use of the Services and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. EcoCycle's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms freely without restriction.

16.5 Force Majeure

EcoCycle shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, utility failures, pandemics, or governmental orders.
